PHOTOGRAPHY SERVICES LICENSE AGREEMENT
This License Agreement applies to all photography services and photograph deliveries by WeDoVids, LLC ("Photographer") to its clients ("Client").
1. COPYRIGHT TRANSFER
Upon receipt of full payment in full, Photographer transfers and assigns to Client all rights, title, and interest in the delivered photographs, including all copyrights. This transfer is complete and irrevocable once payment is received.
2. CLIENT'S FULL RIGHTS
Client receives complete, unrestricted ownership and may:
• Use the photographs for any lawful purpose, commercial or personal
• Reproduce, distribute, display, and perform the photographs in any medium
• Modify, adapt, crop, edit, or create derivative works from the photographs
• Sell, license, sublicense, or transfer the photographs to third parties
• Register copyrights in the photographs in Client's own name
• Exercise all rights of a copyright owner without limitation or attribution requirement
Sole Limitation: Client may not use photographs in ways that:
• Violate applicable laws
• Infringe upon third-party rights (trademarks, publicity rights, etc.)
• Portray Photographer or identifiable individuals in a defamatory or unlawfully offensive manner
3. PAYMENT & LICENSE ACTIVATION
This license becomes effective only upon Photographer's receipt of full payment. Until payment is received in complete satisfaction:
• No usage rights are granted to Client
• Client may not use, copy, or distribute any delivered photographs
• Photographer retains all rights and may pursue legal remedies for unauthorized use
4. DIGITAL DELIVERY & ARCHIVE ACCESS
Initial Delivery & Free Download Period:
• All photographs are delivered via the WeDoVids digital client portal
• Client has 120 days from the date of delivery to download photographs at no charge
• During this 120-day period, Client may access and re-download delivered photographs as many times as needed at no additional cost
• Client is responsible for downloading and securing their own copies during the free access period
Archiving for Client Benefit:
• Photographer maintains archived copies of delivered photographs solely for Client's convenience and potential future access needs
• Archives are stored in secure, encrypted systems
• Photographer is under no obligation to maintain archives indefinitely
Access After 120 Days:
• After the 120-day free download period expires, Client may request access to archived photographs
• Photographer may impose reasonable fees for extended storage, retrieval, access restoration, or administrative costs
• Fee amounts will be communicated to Client prior to granting extended access
• Photographer reserves the right to determine availability and pricing for post-120-day archive access
No Liability for Archive Loss:
• While Photographer makes reasonable efforts to maintain secure archives, Photographer is not liable for data loss, corruption, or unavailability due to equipment failure, disaster, service provider issues, or any circumstances beyond Photographer's reasonable control
• Client is strongly encouraged to maintain their own backup copies of all photographs
5. CONFIDENTIALITY & NON-DISCLOSURE
Photographer's Commitment:
Photographer agrees to maintain strict confidentiality regarding all Client photographs and will NOT:
• Share, publish, or redistribute Client's photographs for promotional purposes without Client's prior written consent
• Provide Client's photographs to third parties for any purpose
• Use Client's photographs in Photographer's portfolio, website, or marketing materials without express permission
Exceptions: Photographer may use Client's photographs if:
• Required by law or court order
• Client provides written authorization
• Photographs are needed to defend against legal claims
All Client photographs are stored in secure, encrypted systems and treated as confidential proprietary information.
6. RAW FILES & UNEDITED IMAGES
Ownership: All raw, unedited, and undelivered photographs remain the exclusive property of Photographer.
Availability: Raw files are generally not provided to Client as they represent Photographer's unfinished work product. Requests for raw files may be considered on a case-by-case basis and will require a separate written agreement and additional fees.
7. ATTRIBUTION & CREDITS
Client is encouraged but not required to credit Photographer when publishing the photographs. Suggested credit format: "Photography by WeDoVids, LLC" or "Photo: WeDoVids"
8. WARRANTIES & LIABILITY LIMITATIONS
Photographer Warranties:
• Photographer owns or controls all rights necessary to grant this license
• Photographs do not infringe upon third-party copyrights, trademarks, or other rights
• Photographer has obtained necessary releases from identifiable individuals appearing in photographs (when applicable and as agreed)
Limitation of Liability:
• Photographer's total liability under this agreement shall not exceed the total fees paid by Client for the specific photography services
• Photographer is not liable for consequential, indirect, or incidental damages arising from use or inability to use the photographs
• Client is responsible for ensuring proper usage rights for any third-party content (music, trademarks, copyrighted materials) appearing in photographs
9. TERMINATION
If Client breaches this agreement (including unauthorized use prior to payment or violation of the confidentiality provisions in Section 5), Photographer may terminate this license with written notice. Upon termination, Client must cease all use of the photographs and Photographer may pursue all available legal remedies.
10. INDEMNIFICATION
Client agrees to indemnify and hold Photographer harmless from claims, damages, or expenses arising from Client's use of the photographs in a manner that:
• Violates this agreement
• Infringes third-party rights
• Violates applicable laws
11. ENTIRE AGREEMENT
This License Agreement, together with any project-specific agreements or invoices, constitutes the entire agreement between Photographer and Client. Any modifications must be made in writing and signed by both parties.
12. GOVERNING LAW
This agreement is governed by the laws of the State of Ohio. Any disputes shall be resolved in the appropriate courts of Ohio.
By accepting delivery of photographs or making payment for photography services, Client acknowledges acceptance of and agreement to these License Terms.
